Terms of Service

These Terms of Service (“Terms”) govern your access to and use of the Orbitech platform, websites, and mobile applications (together, the “Service”), operated by Orbitech LLC, a Wyoming limited liability company (“Orbitech,” “we,” “us”). By creating an account or using the Service, you agree to these Terms. If you do not agree, do not use the Service.

1. What Orbitech Is

Orbitech is a marketplace for real, verified-human content. Brands (“Brands”) commission content from independent creators (“Creators”) through three deal types: (a) UGC content that the Brand licenses and may run as its own advertising; (b) disclosed sponsored posts published on a Creator’s own social account; and (c) managed campaigns run by Orbitech. Orbitech is a neutral venue and a licensor of technology and payment facilitation. We are not a party to the agreement between a Brand and a Creator except where we act as an escrow and payment facilitator as described below.

2. Eligibility

You must be at least 18 years old and able to form a binding contract to use the Service. Creators must additionally meet eligibility thresholds we set from time to time (currently a connected social account at least 6 months old with at least 500 followers). You are responsible for complying with all laws that apply to you, including tax and advertising-disclosure laws.

3. Accounts and Identity Verification

To move money on the Service, Creators must complete identity verification (“KYC”), which includes submitting a government-issued ID and a live face scan through our verification provider, and may include matching delivered content against that scan. You consent to this verification and to the collection and processing of the associated data as described in our Privacy Policy. You agree that all information you provide is accurate and that you will keep it current. You are responsible for activity under your account and for keeping your credentials secure.

4. Content, Ownership, and Licensing

• Creators retain ownershipof the content they create unless and until a license is granted. By submitting content, you represent that it is your original work, that you have all rights necessary to grant the licenses below, and that it does not infringe anyone’s rights.
• UGC licensing. When a Brand licenses content, the Creator grants the Brand the license scope, territory, and duration shown at the time of the grant. Orbitech records and, where applicable, extends these licenses. Unless the specific license states otherwise, the Brand may use the licensed content as its own marketing within that scope.
• Sponsored postsremain on the Creator’s account and must carry clear disclosure (see Section 7).
• Platform license. You grant Orbitech a limited, worldwide, royalty-free license to host, process, reproduce, and display your content solely to operate, verify, secure, and improve the Service.

5. Verification and the “Verified Human” Mark

Orbitech applies identity, capture-provenance, presence (face-match), and AI-detection checks to content, and may display a “Verified Human” mark and a proof page for content that passes. These checks represent our good-faith assessment using the tools available to us. They are not a guarantee, legal certification, or warranty of any fact, and Orbitech does not currently claim any third-party certification standard. Brands and viewers should not treat the mark as an absolute assurance.

6. Fees and Payments

• Brands fund deals in advance. Funds are held by our payment processor in escrow and released to the Creator only after the Brand approves the delivered content.
• Orbitech charges a platform fee of 20% of each deal and licensing payout; Creators receive the remaining 80%. Fees are disclosed before you commit and may change prospectively.
• Payment processing is provided by third parties (currently Stripe for inbound funds and escrow, and local payout rails for disbursement). Your use of those services is subject to their terms.

7. Payouts, Refunds, and Expiry

• Creators are paid to a verified payout method after KYC. Payout availability and rails vary by country.
• If a Creator does not deliver within the deal window (currently 14 days, unless a different deadline is set), the deal may expire and the Brand’s escrowed funds are refunded automatically. Non-delivery affects a Creator’s reliability score.
• Once content is approved and paid, payments are generally final. Disputes are handled as described in Section 11.

8. Disclosure Obligations (FTC and Local Law)

Creators publishing sponsored content must clearly and conspicuously disclose the commercial relationship (for example, with #ad), in compliance with the U.S. FTC Endorsement Guides and any applicable local advertising rules. Orbitech may require, add, or log such disclosure. You remain responsible for your own compliance.

9. Prohibited Conduct

You agree not to:

• submit AI-generated, synthetic, deepfaked, or misattributed content as human-made, or evade our verification;
• upload content you did not create or do not have the rights to;
• create fake, duplicate, or bot accounts, or manipulate followers, engagement, or verification signals;
• circumvent fees, escrow, or the Service to transact off-platform to avoid our protections;
• post unlawful, infringing, deceptive, or harmful content; or
• interfere with, probe, or attempt to breach the security of the Service.

10. Fraud Prevention and Enforcement

Verification and anti-fraud are core to the Service. We may use device fingerprinting, velocity checks, reverse-media checks, delayed payout windows, and manual review to detect fraud. We may hold, reverse, or deny payouts, remove content, and suspend or permanently ban accounts for suspected fraud, content theft, fake or AI content, or any breach of these Terms, with or without notice.

11. Disputes Between Brands and Creators

Brands and Creators are responsible for their own dealings. Where Orbitech holds funds in escrow, we may, at our discretion, mediate a dispute and decide whether to release or refund escrowed funds based on the evidence available. Our decision on escrow release is final as between the parties for that transaction.

12. Intellectual Property in the Service

The Service, including its software, design, and marks, is owned by Orbitech and protected by law. We grant you a limited, revocable, non-transferable license to use the Service as intended. You may not copy, modify, reverse-engineer, or resell any part of the Service.

13. Third-Party Services

The Service integrates third parties for identity, payments, media analysis, and social verification. Orbitech is not responsible for third-party services, and your use of them may be subject to their own terms and privacy policies.

14. Disclaimers

The Service is provided “as is” and “as available,” without warranties of any kind, express or implied, including merchantability, fitness for a particular purpose, non-infringement, and any warranty regarding verification accuracy, uptime, or results. You use the Service at your own risk.

15. Limitation of Liability

To the fullest extent permitted by law, Orbitech and its officers, members, and agents will not be liable for any indirect, incidental, special, consequential, or punitive damages, or for lost profits, data, or goodwill. Our total liability for any claim relating to the Service will not exceed the greater of the fees Orbitech earned from your transactions in the three months before the claim, or US $100.

16. Indemnification

You will indemnify and hold harmless Orbitech from claims, damages, and expenses (including reasonable legal fees) arising from your content, your use of the Service, your violation of these Terms, or your violation of any law or third-party right.

17. Termination

You may stop using the Service at any time. We may suspend or terminate your access at any time for breach of these Terms or to protect the Service. Sections that by their nature should survive termination (including ownership, disclaimers, limitation of liability, and indemnification) will survive.

18. Governing Law and Disputes

These Terms are governed by the laws of the State of Wyoming, USA, without regard to its conflict-of-laws rules. You agree to the exclusive jurisdiction of the state and federal courts located in Wyoming for any dispute not otherwise subject to mediation, unless applicable law requires otherwise.

19. Changes to These Terms

We may update these Terms from time to time. If we make material changes, we will take reasonable steps to notify you. Your continued use of the Service after changes take effect means you accept the updated Terms.
